Aiming at different goals of IT R&D outsourcing project in cooperative technical innovation, R&D outsourcing contract is designed to consider the outsourcing enterprises participating in market return of cooperative innovation product, and the influence factors of contract parameters are analyzed. The results show that the incentive of the optimized proportion of revenue-sharing has nothing to do with product market, fixed service payment of R&D project and cost coefficient of both participants, and is positively related with the influence coefficient of the success of the project from contracting enterprise, and is negatively related with the influence coefficient of the success of the project from outsourcing enterprise. The optimized fixed service payment is positively related with the cost coefficient of both participants, and negatively related with market capacity of the cooperative technology innovation product, and is positively related with product price-sensitive coefficient and unit cost of product promotion. At last, the conclusions are proved by a numerical example.
